General terms and conditions

This is an English translation for information. Only the German version is legally binding.

As of: October 2026

§ 1 Scope

  1. These general terms and conditions (terms) apply to all contracts between TL Compliance, owner Timo Lieske, Eifelstr. 13, 60529 Frankfurt am Main, Germany (hereinafter “TL Compliance”), and its clients for services in the field of chemicals legislation. These include in particular the preparation, review and translation of safety data sheets, UFI codes and poison centre notifications (PCN), CLP labels and label data, notifications of biocidal products and via the EU-CEG portal, the emergency telephone number for safety data sheets and advisory services.
  2. The offer is aimed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Contracts with consumers are not concluded.
  3. Deviating or supplementary terms of the client only apply if TL Compliance expressly agrees to them in text form. Individual agreements in the quote or order take precedence over these terms.

§ 2 Quote and conclusion of contract

  1. Quotes from TL Compliance are subject to change unless stated otherwise in the quote. Each quote is based on the documents and information provided by the client up to that point.
  2. The contract is concluded when the client accepts the quote in text form, for example by e-mail, or when TL Compliance begins the service.
  3. The scope and content of the service result from the quote. Services not mentioned there, such as additional languages, countries, product variants or later updates, are agreed and paid for separately.

§ 3 Nature of the service and responsibility of the client

  1. TL Compliance provides services. A particular economic success or a particular decision by an authority is not owed unless expressly agreed otherwise.
  2. Legal responsibility for placing the product on the market, for classification, labelling, notifications and safety data sheets remains with the client as manufacturer, importer, downstream user or distributor. If TL Compliance submits a notification on the client's behalf, it acts in the name and for the account of the client.
  3. The services are based on the legal situation and the state of science at the time of preparation. Later changes to legislation, classifications (for example through adaptations to technical progress) or limit values make an update necessary; this is only owed if agreed separately.
  4. Documents and labels approved by the client are the client's responsibility. Before printing or use, the client checks in particular product names, quantities, contact details and UFI codes.

§ 4 Cooperation of the client

  1. The client provides all documents and information required for the service in good time, completely and correctly, in particular complete formulas with concentrations, safety data sheets of the raw materials, product and packaging information, uses, target countries as well as company details and access data where needed for notifications.
  2. TL Compliance may rely on the accuracy and completeness of the information provided by the client and its suppliers. These details are only verified by own analyses if this is expressly agreed.
  3. Delays and additional effort caused by missing, incomplete or incorrect information are at the client's expense. Agreed dates are postponed accordingly.
  4. The client informs TL Compliance without delay about changes to formula, product names, packaging or countries of sale insofar as they affect documents or notifications prepared.

§ 5 Deadlines and dates

  1. Stated processing times are guide values and only begin once all documents are complete. Binding dates must be expressly agreed as such.
  2. Processing times of authorities, ECHA or other bodies are outside the control of TL Compliance. The same applies to disruptions of their portals.

§ 6 Remuneration and payment

  1. The prices agreed in the quote apply. All prices are subject to statutory VAT.
  2. Fees of authorities or other bodies, for example for notifications in individual member states, as well as costs for analyses or third-party services are not included in the price unless stated otherwise in the quote. They are charged separately or paid directly by the client.
  3. Invoices are payable within 14 days of the invoice date without deduction. TL Compliance may request a reasonable advance payment from new clients or for larger orders.
  4. If the client is in default of payment, the statutory provisions apply.

§ 7 Acceptance, approval and rectification

  1. The client checks the documents delivered without delay and reports obvious defects in text form within 14 days of delivery.
  2. TL Compliance only submits notifications to authorities, ECHA or the EU-CEG portal after approval by the client, unless agreed otherwise.
  3. In the case of justified defects, TL Compliance rectifies them. If rectification fails twice, the client may reduce the remuneration or withdraw from the contract in accordance with the statutory provisions.

§ 8 Liability

  1. TL Compliance is liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act.
  2. In the event of a slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the client may regularly rely), liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.
  3. Otherwise, liability for slight negligence is excluded.
  4. TL Compliance is not liable for damage resulting from incorrect or incomplete information provided by the client or its suppliers, or from the client not checking approved documents or not reporting changes.
  5. The limitations of liability also apply in favour of vicarious agents of TL Compliance.

§ 9 Confidentiality

  1. TL Compliance treats all formulas, trade secrets and other confidential information of the client as confidential and uses them only to fulfil the order. They are only passed on insofar as this is necessary for the service (for example to authorities, ECHA or poison centres as part of a notification) or insofar as there is a legal obligation.
  2. On request, the parties conclude a separate non-disclosure agreement. It takes precedence over the provisions of this section.
  3. The obligation of confidentiality continues after the end of the contract.

§ 10 Rights of use

  1. Upon full payment, the client receives the simple right, unlimited in time and place, to use, reproduce and pass on to its customers the documents prepared for it (for example safety data sheets, labels and label data) for the respective product.
  2. Templates, text modules, methods and tools of TL Compliance remain its property.

§ 11 Emergency telephone number and continuing services

  1. For continuing services such as providing the emergency telephone number for section 1.4 of safety data sheets, substance monitoring or only representation under Article 8 REACH, the terms and notice periods agreed in the respective quote or contract apply.
  2. If nothing has been agreed, such a contract can be terminated by either party with three months' notice to the end of a calendar month in text form. The right to extraordinary termination remains unaffected.

§ 12 Data protection

TL Compliance processes the client's personal data in accordance with the applicable data protection rules. Details are set out in the privacy policy.

§ 13 Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. If the client is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the place of jurisdiction is Frankfurt am Main. TL Compliance may also sue the client at its general place of jurisdiction.
  3. Amendments and additions to the contract require text form.
  4. Should any provision of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
